The Values and Ethics Code for the Public Sector (Values and Ethics Code) says that preventing, resolving and mitigating situations that could create a conflict of interest, or the appearance of a conflict of interest, is one of the best ways a public servant can maintain public confidence in the impartiality and objectivity of the Public Service. Public servants may work outside the Public Service and take part in outside activities unless the employment or activities are likely to create a conflict of interest or in any way undermine the impartiality of the Public Service. Compliance with the Values and Ethics Code is a condition of employment.

The Department recognizes that participating as a member of a board of directors of an organization / society / association can present certain benefits to the employee and the Department. Some of these benefits include fostering good relations with stakeholders, influencing corporate direction, improving public relations and creating professional visibility of the public servant, and ensuring oversight of federal funding, to name a few. However, whether the membership arises from the public servant’s private interests or from their official duties, it can also involve significant risks of real, apparent or perceived conflict of interest. Other risks related to participation on boards of directors involve legal, financial, civil and other liabilities to the Crown. These risks must be managed effectively since the impact to the Department could be significant if it occurred.

This Board of Directors Assessment Tool has been prepared to assist you in fulfilling your obligations under the Values and Ethics Code. It is also a tool to help you and your manager determine whether or not your participation on a board of directors may create a a real, apparent or potential conflict of interest or a potential liability to the Crown.

The information you provide on this report is collected under the provisions of this code in accordance with the Financial Administration Act for the purposes of ensuring compliance and maintaining information about potential and actual conflict of interest situations for employees of a government institution.
